The terms under which Daleenda provides its services.
What governs the use of this website and an engagement with Daleenda, where no separately signed contract says otherwise.
Scope
These terms cover the use of this website and, where no signed agreement says otherwise, engagements with Daleenda. Where a signed contract exists, that contract prevails over anything on this page.
Services
Design, development and operation of custom software (web and mobile products, platforms, ERP and point of sale), delivered as a fixed-scope project, a retainer, or a dedicated team, as agreed in writing before work starts.
Quotes and payment
Scope and price are agreed before the work begins, and a change to one is a change to the other, agreed in writing rather than absorbed silently. Payment schedule, currency and invoicing are set in the engagement letter for each piece of work — they differ too much between a fixed-scope project in Germany and a retainer in the Gulf for one page to state them honestly.
Client obligations
The work depends on access, decisions and content arriving when they are needed. Where they do not, timelines move by agreement rather than quality being cut to hold a date.
Intellectual property
You own the code and the repository from day one. This is not held back as leverage until final payment. Pre-existing components, open-source dependencies and our own general know-how remain ours, licensed to you as far as your use of the delivered system requires.
Confidentiality
Each side keeps the other's non-public information confidential, during the engagement and afterwards, and uses it only for the work. We name a client publicly only with their agreement.
Liability
Liability, warranty and their limits are set in each signed contract, alongside the governing law that shapes them. The website itself is provided as it is: its content is information, not advice, and visiting it creates no engagement.
Termination
Either side may end an engagement with thirty days' written notice. Work completed up to that point is invoiced, the code and repository are already yours, and we hand over what is needed to continue without us.
Governing law
Which law governs an engagement, and which courts hear a dispute over it, is named in each signed contract — chosen with the client for their market rather than imposed from here, because it differs for German, Egyptian and Saudi clients.
